Denominazione e sede<br \/>\n<\/strong>E' costituita, nel rispetto dell'art. 36 e sgg. del Codice Civile l'associazione denominata:<br \/>\n\"<strong>Salvetti Foundation<\/strong>\"<br \/>\ncon sede nel Comune di Milano in via Filippo Corridoni n. 45.<br \/>\nIl trasferimento della sede legale, nell'ambito dello stesso comune, non comporta modifica statutaria, ma l'obbligo di comunicazione agli uffici competenti.<br \/>\n<strong>ART. 2 - Finalit\u00e0<br \/>\n<\/strong>L'Associazione \u00e8 apartitica e non ha fini di lucro.<br \/>\nLo scopo dell'Associazione \u00e8 il supporto, anche culturale, alla scienza e alla ricerca scientifica applicativa nonch\u00e9 la promozione dello studio e dell'educazione ed istruzione scientifica, specialmente nel campo della manutenzione industriale e comunque persegue scopi di pubblica utilit\u00e0.<br \/>\nPer questi scopi persegue i seguenti obbiettivi e finalit\u00e0:<br \/>\na) supportare l'educazione e la formazione di studenti, scienziati, tecnici e giovani professionisti nel campo della manutenzione industriale;<br \/>\nb) premiare le eccellenze nelle realizzazioni scientifiche e\/o tecnologiche nel campo della manutenzione industriale;<br \/>\nc) favorire lo scambio culturale per aumentare le conoscenze tra ingegneri, scienziati e tecnici attivi nella manutenzione industriale e le universit\u00e0 e\/o istituti professionali o di ricerca;<br \/>\nd) supportare le attivit\u00e0 culturali e scientifiche degli operatori nazionali ed internazionali nel campo della manutenzione industriale.<br \/>\n<strong>ART. 3 - Realizzazione dello scopo sociale<\/strong>Lo scopo \u00e8 realizzato dalle attivit\u00e0 dell'Associazione, come descritto nei paragrafi seguenti.<br \/>\nIl supporto culturale alla scienza e alla ricerca scientifica applicativa nel campo della manutenzione industriale svolta mediante:<br \/>\na) il supporto ai migliori studenti, scienziati e tecnici nel campo della manutenzione industriale, in particolare il riconoscimento del \"Premio di incentivazione Euromaintenance\" in collaborazione con il consiglio direttivo della \"EFNMS\" ed in collaborazione con l'\"EFNMS - Euromaintenance Conference\";<br \/>\nb) la promozione di pubblicazioni, articoli e contributi scientifici nel campo della manutenzione industriale, favorendo lo scambio di informazioni e la comunicazione attraverso piattaforme per gli studenti, scienziati, tecnici e giovani professionisti che consentano l'incontro con esperti, scienziati e tecnici attivi nel settore.<br \/>\nPer lo svolgimento e la realizzazione delle sue attivit\u00e0, l'Associazione potr\u00e0 inoltre svolgere tutte le attivit\u00e0 connesse o accessorie a quelle statutarie in quanto strumentali alle stesse, purch\u00e9 non incompatibili con la sua natura di associazione e realizzate nei limiti consentiti dalla legge.<br \/>\n\u00c8 fatto divieto di svolgere attivit\u00e0 diverse da quelle istituzionali, ad eccezione di quelle ad esse direttamente connesse.<br \/>\n<strong>ART. 4 - Soci<br \/>\n<\/strong>Possono far parte dell'Associazione persone fisiche o giuridiche che diano pieno affidamento per l'attuazione dei programmi statutari e che condividano le ispirazioni di fondo che animano l'associazione.<br \/>\nL'adesione all'Associazione \u00e8 volontaria ed avviene secondo modalit\u00e0 e termini di cui al successivo articolo 5.<br \/>\nI soci si dividono in:<br \/>\n1) <u>soci fondatori<\/u>: si considerano tali i soci che hanno partecipato all'atto costitutivo dell'associazione;<br \/>\n2) <u>soci ordinari<\/u>: si considerano tali tutti i soci che aderiranno successivamente all'associazione, previa presentazione di apposita domanda scritta, secondo modalit\u00e0 e termini contenuti nel presente statuto;<br \/>\n3) <u>soci sostenitori<\/u>: sono coloro che oltre alla quota ordinaria, erogano contribuzioni volontarie straordinarie;<br \/>\n4) <u>soci onorari<\/u>: si considerano tali coloro che vengono insigniti di tale qualifica per volont\u00e0 del Consiglio Direttivo, a fronte del costante impegno profuso all'interno dell'associazione o per notoriet\u00e0 e la positiva immagine che con la loro presenza possono recare all'Associazione.<br \/>\n<strong>ART. 5 - Assunzione della qualifica di socio<br \/>\n<\/strong>Per l'assunzione della qualifica di socio ordinario \u00e8 necessario presentare apposita domanda scritta al Consiglio Direttivo, nella forma e secondo le modalit\u00e0 stabilite dal medesimo.<br \/>\nIl riconoscimento della qualifica di socio ordinario si acquisisce a seguito di apposita delibera del Consiglio Direttivo e a suo insindacabile giudizio.<br \/>\nL'ammissione a socio \u00e8 a tempo indeterminato, fermo restando il diritto di recesso.<br \/>\nLa qualifica di socio non \u00e8 trasmissibile n\u00e9 per atto tra vivi n\u00e9 per causa di morte.<br \/>\n<strong>ART. 6 - Diritti e doveri dei soci<br \/>\n<\/strong>I soci hanno diritto di eleggere gli organi sociali e di essere eletti negli stessi.<br \/>\nEssi hanno diritto di essere informati sulle attivit\u00e0 dell'Associazione e di essere rimborsati per le spese effettivamente sostenute nello svolgimento dell'attivit\u00e0 prestata, fermo restando quanto previsto dall'art.18 del presente statuto.<br \/>\nI soci devono versare nei termini la quota sociale che viene rappresentata dalla quota simbolica di 1 (uno) euro e rispettare il presente statuto e l'eventuale regolamento interno.<br \/>\nGli aderenti svolgeranno la propria attivit\u00e0 nell'Associazione prevalentemente in modo personale, volontario e gratuito, senza fini di lucro, anche indiretto, in ragione delle disponibilit\u00e0 personali.<br \/>\n<strong>ART. 7 - Recesso ed esclusione del socio<br \/>\n<\/strong>Il socio pu\u00f2 recedere dall'Associazione mediante comunicazione scritta al Consiglio Direttivo ed ha effetto con lo scadere dell'anno purch\u00e9 sia fatta almeno due mesi prima della fine dell'anno.<br \/>\nIl socio che contravviene ai doveri stabiliti dallo statuto o che commette gravi violazioni agli interessi e scopi dell'associazione pu\u00f2 essere escluso dall'Associazione.<br \/>\nL'esclusione \u00e8 deliberata dal Consiglio Direttivo con voto segreto e dopo avere ascoltato le giustificazioni o le ragioni dell'interessato.<br \/>\n\u00c8 comunque ammesso ricorso al giudice ordinario.<br \/>\n<strong>ART. 8 - Organi dell'Associazione<br \/>\n<\/strong>Sono organi dell'Associazione:<br \/>\n* l'Assemblea dei soci;<br \/>\n* il Consiglio Direttivo;<br \/>\n* il Comitato Scientifico;<br \/>\n* il Presidente;<br \/>\n* il Vice Presidente;<br \/>\n* il Segretario Generale.<br \/>\n<strong>ART. 9 - Assemblea<br \/>\n<\/strong>L'Assemblea \u00e8 l'organo sovrano dell'Associazione ed \u00e8 composta da tutti i soci.<br \/>\n\u00c8 convocata almeno una volta all'anno dal Presidente dell'Associazione o da chi ne fa le veci mediante avviso scritto da inviare, con mezzi idonei di cui si abbia prova di ricezione da parte dei destinatari, almeno 10 giorni prima di quello fissato per l'adunanza e contenente l'ordine del giorno dei lavori.<br \/>\nL'Assemblea \u00e8 inoltre convocata a richiesta di almeno un decimo dei soci o quando il Consiglio Direttivo lo ritiene necessario.<br \/>\nL'Assemblea pu\u00f2 essere ordinaria o straordinaria. \u00c8 straordinaria quella convocata per la modifica dello statuto e lo scioglimento dell'Associazione. \u00c8 ordinaria in tutti gli altri casi.<br \/>\nL'avviso di convocazione deve contenere la data, l'ora ed il luogo, purch\u00e9 in Europa, dell'adunanza, nonch\u00e9 l'elenco delle materie da trattare.<br \/>\nL'Assemblea si riunisce anche tramite collegamento audio\/televisivo, presso la sede legale o presso il diverso luogo indicato nell'avviso di convocazione.<br \/>\n<strong>ART. 10 - Compiti dell'Assemblea<br \/>\n<\/strong>L'Assemblea deve:<br \/>\n- approvare il conto consuntivo e preventivo;<br \/>\n- determinare le linee generali programmatiche dell'attivit\u00e0 dell'Associazione;<br \/>\n- approvare i regolamenti interni;<br \/>\n- eleggere il Presidente, il Vice Presidente e i membri del Consiglio Direttivo;<br \/>\n- deliberare su quant'altro demandatole per legge o per statuto, o sottoposto al suo esame dal Consiglio Direttivo.<br \/>\n<strong>ART. 11 - Validit\u00e0 Assemblee<br \/>\n<\/strong>L'Assemblea ordinaria \u00e8 regolarmente costituita in prima convocazione se \u00e8 presente la maggioranza degli iscritti aventi diritto di voto; in seconda convocazione, da tenersi anche nello stesso giorno, qualunque sia il numero dei presenti, in proprio o per delega.<br \/>\nNon sono ammesse pi\u00f9 di quattro deleghe per ciascun aderente.<br \/>\nLe deliberazioni dell'Assemblea ordinaria vengono prese a maggioranza dei presenti e rappresentati per delega, sono espresse con voto palese tranne quelle riguardanti le persone e la qualit\u00e0 delle persone (o quando l'Assemblea lo ritenga opportuno).<br \/>\nL'Assemblea straordinaria:<br \/>\n- approva eventuali modifiche allo statuto col voto favorevole della met\u00e0 pi\u00f9 uno dei soci;<br \/>\n- scioglie l'Associazione e ne devolve il patrimonio col voto favorevole di 3\/4 dei soci.<br \/>\nLe riunioni dell\u2019Assemblea si possono svolgere anche per tele-conferenza o videoconferenza a condizione che tutti i partecipanti possano essere identificati, sia loro consentito di seguire la discussione ed intervenire in tempo reale alla trattazione degli argomenti affrontati e siano parimenti informati; verificandosi tali requisiti l\u2019Assemblea si considera tenuta nel luogo in cui si trova il Presidente dell\u2019adunanza, dove pure deve trovarsi il Segretario della riunione, onde si possa procedere alla stesura ed alla sottoscrizione del verbale sul relativo libro.<br \/>\n<strong>ART. 12 - Verbalizzazione<br \/>\n<\/strong>Le discussioni e le deliberazioni dell'Assemblea sono riassunte in un verbale redatto dal segretario dell'Assemblea e sottoscritto dal Presidente.<br \/>\nOgni socio ha diritto di consultare il verbale e di trarne copia.<br \/>\n<strong>ART. 13 - Consiglio Direttivo<br \/>\n<\/strong>Il Consiglio Direttivo \u00e8 composto da un minino di due membri ad un massimo di sette membri eletti dall'assemblea tra i propri componenti. Sono membri di diritto i soci fondatori. Il Consiglio Direttivo determina la quota sociale annuale di partecipazione.<br \/>\nIl Consiglio Direttivo \u00e8 validamente costituito quando \u00e8 presente la maggioranza dei componenti. Esso delibera a maggioranza dei presenti.<br \/>\nIl Consiglio Direttivo compie tutti gli atti di ordinaria e straordinaria amministrazione non espressamente demandati all'Assemblea, per esempio l\u2019organizzazione di conferenze come Centro di Documentazione e Formazione della Fondazione, nonch\u00e9 la gestione del sito internet o di altre pubblicazioni istituzionali; redige e presenta all'Assemblea il rapporto annuale sull'attivit\u00e0 dell'Associazione, il rendiconto consuntivo e preventivo.<br \/>\nIl Consiglio Direttivo dura in carica cinque esercizi e i suoi componenti sono rieleggibili.<br \/>\nLe riunioni del Consiglio si possono svolgere anche per tele-conferenza o videoconferenza a condizione che tutti i partecipanti possano essere identificati, sia loro consentito di seguire la discussione ed intervenire in tempo reale alla trattazione degli argomenti affrontati e siano parimenti informati; verificandosi tali requisiti l\u2019Assemblea si considera tenuta nel luogo in cui si trova il Presidente dell\u2019adunanza, dove pure deve trovarsi il Segretario della riunione, onde si possa procedere alla stesura ed alla sottoscrizione del verbale sul relativo libro.<br \/>\n<strong>ART. 14 \u2013 Comitato Scientifico<br \/>\n<\/strong>Il Comitato Scientifico \u00e8 composto da un minimo di due membri ad un massimo di nove membri eletti dal Consiglio Direttivo, eventualmente anche non Soci dell\u2019Associazione su proposta del Presidente del Comitato Scientifico. Il Presidente del Comitato Scientifico, nominato dal Consiglio Direttivo, convoca le riunioni del Comitato.<br \/>\nIl Comitato Scientifico dura in carica cinque esercizi e i suoi componenti sono rieleggibili.<br \/>\nIl Comitato Scientifico \u00e8 validamente costituito quando \u00e8 presente la maggioranza dei componenti. Esso delibera a maggioranza dei presenti.<br \/>\nIl Comitato Scientifico analizza e affronta tutte le tematiche legate ai rapporti con le universit\u00e0, associazioni italiane ed estere e i rapporti con il mondo industriale ed infra-strutturale (quali ad esempio, la manutenzione di autostrade e aeroporti) ed i servizi alla societ\u00e0 (scuole, ospedali e musei); si occupa della visibilit\u00e0 dell\u2019associazione; dei rapporti con possibili sostenitori nonch\u00e9 del supporto ai migliori studenti, scienziati e tecnici nel campo della manutenzione industriale; della promozione di pubblicazioni, articoli e contributi scientifici nel campo della manutenzione industriale, favorendo lo scambio di informazioni e la comunicazione attraverso piattaforme per gli studenti, scienziati, tecnici e giovani professionisti che consentano l'incontro con esperti, scienziati e tecnici attivi nel settore.<br \/>\nLe riunioni del Comitato Scientifico si possono svolgere anche per tele-conferenza o videoconferenza a condizione che tutti i partecipanti possano essere identificati, sia loro consentito di seguire la discussione ed intervenire in tempo reale alla trattazione degli argomenti affrontati e siano parimenti informati. Le riunioni del Comitato Scientifico verranno riportate all\u2019interno dei verbali del Consiglio Direttivo.<br \/>\n<strong>ART. 15 - Presidente <br \/>\n<\/strong>Il Presidente ha la legale rappresentanza dell'associazione, presiede il Consiglio Direttivo e l'assemblea; convoca l'assemblea dei soci e il Consiglio Direttivo sia in caso di convocazioni ordinarie che straordinarie. In caso di parit\u00e0 nelle votazioni il suo voto vale doppio.<br \/>\n<strong>ART. 16 - Vice Presidente dell'associazione<br \/>\n<\/strong>Il Vice Presidente dell'associazione rappresenta l'associazione in tutti i casi in cui il Presidente sia oggettivamente impossibilitato a farlo, e quando abbia ricevuto apposita delega dal Presidente stesso.<br \/>\nEgli sostiene il Presidente in tutte le iniziative dallo stesso intraprese.<br \/>\nOve il Presidente lo ritenga opportuno e qualora i suoi impegni non gli consentano di rappresentare l'associazione nelle diverse attivit\u00e0 di volta in volta intraprese, il Vice Presidente pu\u00f2 intervenire personalmente in sostituzione del Presidente con i suoi stessi poteri, previo rilascio di apposita procura.<br \/>\n<strong>ART. 17 - Segretario Generale<br \/>\n<\/strong>Il Segretario Generale \u00e8 nominato dal Consiglio Direttivo su proposta del Presidente, resta in carica cinque esercizi e pu\u00f2 essere confermato; all'atto di nomina vengono stabilite la natura e la qualifica dell'incarico del Segretario Generale.<br \/>\nIl Segretario Generale, relativamente ai poteri ad esso conferiti al momento della nomina ovvero previsti dal presente statuto, ha piena autonomia decisionale, poteri di firma e di delega, nell'ambito dei programmi, delle linee di sviluppo definite e degli stanziamenti di bilancio approvati dal Consiglio Direttivo dell'Associazione.<br \/>\nEgli, in particolare:<br \/>\na) provvede alla gestione organizzativa ed amministrativa dell'Associazione, nonch\u00e9 alla organizzazione e promozione delle singole iniziative, predisponendo mezzi e strumenti necessari per la loro concreta attuazione;<br \/>\nb) d\u00e0 esecuzione, nelle materie di sua competenza, alle deliberazioni del Consiglio Direttivo, nonch\u00e9 agli atti del Presidente.<br \/>\n<strong>Art. 18 - Gratuit\u00e0 delle cariche<br \/>\n<\/strong><strong><\/strong>Tutte le cariche menzionate nel presente statuto sono gratuite salvo il rimborso delle spese debitamente documentate sostenute in nome e per conto dell'Associazione e\/o per l'assolvimento di uno specifico incarico, ove preventivamente autorizzate dal Consiglio Direttivo.<br \/>\n<strong>ART. 19 - Risorse economiche<br \/>\n<\/strong>Le risorse economiche dell'Associazione sono costituite da: 1.quote e contributi degli associati;<br \/>\n2.contributi di privati,<br \/>\n3.eredit\u00e0, donazioni e legati;<br \/>\n4.altre entrate compatibili con la normativa in materia.<br \/>\nL'Associazione ha il divieto di distribuire, anche in modo indiretto, utili e avanzi di gestione nonch\u00e9 fondi, riserve o capitale durante la vita dell'ente, in favore di amministratori, soci, partecipanti, lavoratori o collaboratori e in generale a terzi, a meno che la destinazione o la distribuzione non siano imposte per legge, ovvero siano effettuate a favore di enti che per legge, statuto o regolamento, fanno parte della medesima e unitaria struttura e svolgono la stessa attivit\u00e0 ovvero altre attivit\u00e0 istituzionali direttamente e specificamente previste dalla normativa vigente. Ogni spesa dell\u2019Associazione a favore di terzi, per acquisto di prodotti o servizi deliberati dal Consiglio Direttivo dovr\u00e0 essere specificamente documentata.<br \/>\nL'Associazione ha l'obbligo di reinvestire gli eventuali utili e avanzi di gestione esclusivamente per lo sviluppo delle attivit\u00e0 funzionali al perseguimento dello scopo istituzionale di solidariet\u00e0 sociale.<br \/>\n<strong>ART. 20 - Rendiconto economico-finanziario<br \/>\n<\/strong>Il rendiconto economico-finanziario dell'associazione \u00e8 annuale e decorre dal primo gennaio di ogni anno. Il conto consuntivo contiene tutte le entrate e le spese sostenute relative all'anno trascorso. Il conto preventivo contiene le previsioni di spesa e di entrata per l'esercizio annuale successivo.<br \/>\nIl rendiconto economico-finanziario \u00e8 predisposto dal Consiglio Direttivo e approvato dall'Assemblea generale ordinaria con le maggioranze previste dal presente statuto, depositato presso la sede dell'Associazione almeno 20 gg. prima dell'Assemblea e pu\u00f2 essere consultato da ogni associato.<br \/>\nIl conto consuntivo deve essere approvato entro il 30 giugno dell'anno successivo alla chiusura dell'esercizio sociale.<br \/>\n<strong>ART.\u00a0 21 - Scioglimento e devoluzione del patrimonio<br \/>\n<\/strong>L'eventuale scioglimento dell'Associazione sar\u00e0 deciso soltanto dall'assemblea con le modalit\u00e0 di cui all'art. 11.<br \/>\nL'Associazione ha l'obbligo di devolvere il patrimonio dell'ente non commerciale in caso di suo scioglimento per qualunque causa, ad altro ente non commerciale che svolga un'analoga attivit\u00e0 istituzionale, salvo diversa destinazione imposta dalla legge con finalit\u00e0 analoghe o ai fini di pubblica utilit\u00e0, sentito l'organismo di controllo di cui all'articolo 3, comma 190, della legge 23 dicembre 1996, n. 662, e salvo diversa destinazione imposta dalla legge.<br \/>\n<strong>ART. 22 - Disposizioni finali<br \/>\n<\/strong>Per tutto ci\u00f2 che non \u00e8 espressamente previsto dal presente statuto si applicano le disposizioni previste dal Codice civile e dalle leggi vigenti in materia.<\/p>\n<p>AGGIORNATO a Milano, 19 ottobre 2020<\/p><\/div><\/div><div class=\"x-column x-sm x-1-2 e24-e25 mo-e\"><h2  class=\"h-custom-headline man h3\" style=\"color: hsl(0, 55%, 32%);\"><span>Statute<\/span><\/h2><hr  class=\"x-gap\" style=\"margin: 50px 0 0 0;\"><div class=\"x-text x-content e24-e28 mo-6 mo-7 mo-b mo-c\"><p><span style=\"color: #993300;\"><strong>ARTICLES OF ASSOCIATION <br \/>\n<\/strong>(English version)<\/span><\/p>\n<p><span style=\"color: #993300;\"><strong>ART. 1 - Name and Registered Office<br \/>\n<\/strong>An association is established in compliance with art. 36 et seq of the Italian Civil Code bearing the name of:<\/span><br \/>\n<span style=\"color: #993300;\">\u2018<strong>Salvetti Foundation\u2019<\/strong>.<\/span><br \/>\n<span style=\"color: #993300;\">Its Registered Office shall be located in the Municipality of Milan, at number 45 Via Filippo Corridoni.<\/span><br \/>\n<span style=\"color: #993300;\">The Registered Office may be transferred without this causing the need to amend these articles of association, provided that the new office is located within the same municipality. However, the relevant authorities shall be notified of the transfer.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 2 \u2013 Purposes <br \/>\n<\/strong>The Association is non-partisan and not-for-profit.<\/span><br \/>\n<span style=\"color: #993300;\">The purpose of the Association shall be to support scientific culture and scientific application research as well as to promote scientific studies, education and training, especially in the field of industrial maintenance. The Association shall always seek public benefit.<\/span><br \/>\n<span style=\"color: #993300;\">To this end, the Association shall pursue the following objectives and goals:<\/span><br \/>\n<span style=\"color: #993300;\">a) to support the education and training of students, scientists, technicians and young professionals in the field of industrial maintenance;<\/span><br \/>\n<span style=\"color: #993300;\">b) to honour the most outstanding scientific and technological results in the field of industrial maintenance;<\/span><br \/>\n<span style=\"color: #993300;\">c) to foster cultural exchange opportunities with a view to increasing contact between engineers, scientists and technicians dealing with industrial maintenance and universities and\/or vocational training or research bodies;<\/span><br \/>\n<span style=\"color: #993300;\">d) to back cultural and scientific activities carried out by domestic and international players operating in the field of industrial maintenance.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 3 \u2013 Implementation of the Association\u2019s goals<br \/>\n<\/strong>The Association\u2019s goals shall be met through its activities, as described in the paragraphs below.<\/span><br \/>\n<span style=\"color: #993300;\">Promoting science and scientific application research in the field of industrial maintenance through:<\/span><br \/>\n<span style=\"color: #993300;\">a) support initiatives aimed at the best students, scientists and technicians in the field of industrial maintenance, amongst which in particular the conferral of the \u2018Euromaintenance Incentive Award\u2019 in collaboration with the board of governors of \u2018EFNMS\u2019 and with 'EFNMS - Euromaintenance Conference\u2019;<\/span><br \/>\n<span style=\"color: #993300;\">b) the promotion of any publication, article and scientific contribution in the field of industrial maintenance, as well as of any platform fostering the exchange of information and the communication between students, scientists, technicians and young professionals and their contact with experts, scientists and technicians who operate in said field.<\/span><br \/>\n<span style=\"color: #993300;\">Alongside the activities listed in these articles, the Association may also decide to carry out others that are connected to or supplement them, provided that they are not incompatible with the nature of the Association itself and are implemented in accordance with the law.<\/span><br \/>\n<span style=\"color: #993300;\">The Association shall not engage in activities other than the institutional ones, except for those directly connected to them.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 4 - Members<br \/>\n<\/strong>The Association may be joined by natural or legal persons who are fully trusted to be willing to implement the statutory programs and share the underlying principles that guide the Association.<\/span><br \/>\n<span style=\"color: #993300;\">Membership is voluntary and shall be based on the terms and conditions set forth in Article 5 below.<\/span><br \/>\n<span style=\"color: #993300;\">Members shall be divided into:<\/span><br \/>\n<span style=\"color: #993300;\">1) <u>founders<\/u>: namely the members who took part in the incorporation of the Association;<\/span><br \/>\n<span style=\"color: #993300;\">2) <u>ordinary members<\/u>: namely all the members who will join the Association,\u00a0 subject to the approval of a written application complying with the terms and conditions set in these articles of association;<\/span><br \/>\n<span style=\"color: #993300;\">3) <u>supporting members<\/u>: namely those who in addition to the ordinary membership fee, also make voluntary extra contributions;<\/span><br \/>\n<span style=\"color: #993300;\">4) <u>honorary members<\/u>: namely those who are awarded this title upon a decision of the Board of Governors, in light of their ongoing commitment within the Association or the positive reputation and image their presence may bring into the Association.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 5 \u2013 Acquisition of member status<br \/>\n<\/strong>To become an ordinary member, an application in writing shall be addressed to the Board of Governors, in the form and manner determined by the Board itself.\u00a0\u00a0\u00a0<\/span><br \/>\n<span style=\"color: #993300;\">The status of ordinary member is acquired upon a special resolution of the Board. Said resolution is unappealable.<\/span><br \/>\n<span style=\"color: #993300;\">Membership is recognised for an unlimited period of time, it being understood that members hold at any time the right of withdrawal.<\/span><br \/>\n<span style=\"color: #993300;\">Membership shall not be transferred to third parties either between living persons (inter vivos) or upon a member\u2019s death (mortis causa).<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 6 \u2013 Members\u2019 rights and obligations<br \/>\n<\/strong>Members hold the right to elect the Association\u2019s governing bodies and be elected in the same.<\/span><br \/>\n<span style=\"color: #993300;\">Members hold the right to be informed about the Association\u2019s activities and be reimbursed for any expenses they may have incurred in carrying out such activities, without prejudice to what established in art.18 below.<\/span><br \/>\n<span style=\"color: #993300;\">Members shall pay their membership fee with a symbolic amount of 1 (one) euro within set deadlines and abide by these articles of association as well as any additional internal rules and regulations.<\/span><br \/>\n<span style=\"color: #993300;\">Members\u2019 contributions to the Association\u2019s activities shall be offered personally, voluntarily and free of charge. Members\u2019 participation in the activities shall be governed by one\u2019s own individual availability and no profit, either direct or indirect, shall be made out of it.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 7 \u2013 Withdrawal and expulsion of members<br \/>\n<\/strong>Any member may withdraw from the Association by sending a communication in writing to the Board of Governors at least two months prior to the end of the year. Provided that this requisite is met, said withdrawal comes into effect at the end of the corresponding year.<\/span><br \/>\n<span style=\"color: #993300;\">Any member who violates the obligations set out herein or commits serious violations against the Association\u2019s interests and purposes may be expelled.<\/span><br \/>\n<span style=\"color: #993300;\">Expulsions shall be ruled by the Board of Governors with a secret vote and after having heard the involved member\u2019s explanation and motives.<\/span><br \/>\n<span style=\"color: #993300;\">However, members are entitled to appeal to the ordinary courts.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 8 \u2013 Governing Bodies of the Association<br \/>\n<\/strong>The Association shall comprise the following bodies and entities:<\/span><br \/>\n<span style=\"color: #993300;\">* the Members\u2019 Meeting;<\/span><br \/>\n<span style=\"color: #993300;\">* the Board of Governors;<\/span><br \/>\n<span style=\"color: #993300;\">* the Scientific Committee;<\/span><br \/>\n<span style=\"color: #993300;\">* the President;<\/span><br \/>\n<span style=\"color: #993300;\">* the Vice President;<\/span><br \/>\n<span style=\"color: #993300;\">* the Secretary General.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 9 \u2013 Members\u2019 Meeting<br \/>\n<\/strong>The Members\u2019 Meeting is the supreme body of the Association and is composed of all the Association\u2019s members.<\/span><br \/>\n<span style=\"color: #993300;\">It is called at least once a year by the President of the Association or the person acting in his stead. To this end, a written notice shall be sent at least 10 days prior to the date of the Meeting by any suitable means providing evidence of safe receipt. Said notice shall include the Meeting\u2019s agenda.<\/span><br \/>\n<span style=\"color: #993300;\">The Meeting may also be called at the request of at least one tenth of the Members or whenever the Board of Governors deems it necessary.<\/span><br \/>\n<span style=\"color: #993300;\">Meetings may be ordinary or extraordinary. Extraordinary Meetings are called for the amendment of the articles of association or the dissolution of the Association. All the other Meetings are to be considered as ordinary.<\/span><br \/>\n<span style=\"color: #993300;\">The aforesaid notice shall contain the date, time and place \u2013always within Europe- of the Meeting as well as a list of the topics that will be dealt with.<\/span><br \/>\n<span style=\"color: #993300;\">The Members\u2019 Meeting shall meet, also by tele\/audio-conference, at the Registered Office or a different place whose details shall be specified in the notice.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 10 \u2013 Duties of the Members\u2019 Meeting<br \/>\n<\/strong>The Members\u2019 Meeting shall:<\/span><br \/>\n<span style=\"color: #993300;\">- approve the budget and the final accounts;<\/span><br \/>\n<span style=\"color: #993300;\">- determine the Association\u2019s activities guidelines;<\/span><br \/>\n<span style=\"color: #993300;\">- approve internal rules and regulations;<\/span><br \/>\n<span style=\"color: #993300;\">- elect the President, the Vice President and the members of the Board of Governors;<\/span><br \/>\n<span style=\"color: #993300;\">- rule on any other issue brought to its attention by the Board of Governors or for which it has powers to do so under the law or these articles.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 11 \u2013 Validity of the Meetings <br \/>\n<\/strong>The ordinary Meeting is validly constituted on first call when the majority of members having the right to vote are present; it is valid on second call, even on the same day, regardless of the number of those present in person or by proxy.<\/span><br \/>\n<span style=\"color: #993300;\">Each member shall not accept more than four proxy papers.<\/span><br \/>\n<span style=\"color: #993300;\">The ordinary Meeting\u2019s resolutions are adopted by a majority of those present or represented by proxy and by open vote, except for those involving persons and their qualities (or whenever the Meeting deems it appropriate).<\/span><br \/>\n<span style=\"color: #993300;\">The extraordinary Meeting is responsible for:<\/span><br \/>\n<span style=\"color: #993300;\">- approving any amendment to the articles of association when half plus one of the membership voted in favour of it;<\/span><br \/>\n<span style=\"color: #993300;\">- dissolving the Association and donating its assets with the favourable vote of 3\/4 of the members.<\/span><br \/>\n<span style=\"color: #993300;\">The meeting of the Members\u2019 could be held also by teleconference or videoconference provided that all the participants can be identified, they are allowed to follow the discussion and intervene in real time to discuss the issues of the Agenda\u00a0 and are also informed; with this conditions the Members\u2019 meeting is held where there is the Chairman and the Secretary to provide with the drafting and signing of the Minutes on the book.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 12 \u2013Minutes taking<br \/>\n<\/strong>The discussions and decisions of the Meeting shall be summarised in the minutes taken by the Meeting\u2019s secretary and signed by the President.<\/span><br \/>\n<span style=\"color: #993300;\">All members have the right to consult the minutes and make a copy of them.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 13 \u2013 Board of Governors<br \/>\n<\/strong>The Board of Governors is composed of a minimum of two up to a maximum of seven members elected by the Meeting amongst its members. The founders of the Association are ex officio members of the Board. The Board of Governors set the amount of the annual membership fee.<\/span><br \/>\n<span style=\"color: #993300;\">The Board of Governors is validly constituted when the majority of its members are present. Its decisions are approved by a simple majority vote.<\/span><br \/>\n<span style=\"color: #993300;\">The Board of Governors shall perform all routine and extraordinary duties that have not been explicitly delegated to the Meeting; such as, for example, the organization of conferences as the Foundation's Documentation and Educational Center, as well as the management of the website or other institutional publications; it draws up -and presents to the Meeting- the annual report on the Association\u2019s activities, the budget and the final accounts.<\/span><br \/>\n<span style=\"color: #993300;\">The Board of Governors remains in office for five years and its members may be re-elected.<\/span><br \/>\n<span style=\"color: #993300;\">The meeting of the Board of Governors could be held also by teleconference or videoconference provided that all the participants can be identified, they are allowed to follow the discussion and intervene in real time to discuss the issues of the Agenda and are also informed; with this conditions the Board of Governors\u2019 meeting is held where there is the Chairman and the Secretary to provide with the drafting and signing of the Minutes on the book.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 14 - Scientific Committee<br \/>\n<\/strong>The Scientific Committee is made up of a minimum of two members and a maximum of nine members elected by the Board of Governors, on the proposal of the President of the Scientific Committee, even non-members of the Association. The Scientific Committee holds office for five years and its members can be re-elected.<\/span><br \/>\n<span style=\"color: #993300;\">The Scientific Committee is validly constituted when the majority of its members are present. It decides by majority of those present.<\/span><br \/>\n<span style=\"color: #993300;\">The Scientific Committee analyzes and addresses all issues related to relations with universities, Italian and foreign associations and relations with the industrial and infra-structural world (such as, for example, the maintenance of highways and airports) and services to society (schools, hospitals and museums); deals with the visibility of the association; relationships with possible supporters as well as support for the best students, scientists and technicians in the field of industrial maintenance; the promotion of publications, articles and scientific contributions in the field of industrial maintenance, promoting the exchange of information and communication through platforms for students, scientists, technicians and young professionals that allow meetings with experts, scientists and technicians active in the sector.<\/span><br \/>\n<span style=\"color: #993300;\">The meetings of the Scientific Committee can also be held by teleconference or videoconference provided that all the participants can be identified, that they are allowed to follow the discussion and intervene in real time in the discussion of the topics addressed and are equally informed. The meetings of the Scientific Committee will be reported in the minutes of the Board of Governors.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 15 - President<br \/>\n<\/strong>The President is the legal representative of the Association; furthermore, he chairs the Board of Governors and the Members\u2019 Meeting and he calls both the ordinary and extraordinary meetings of these two bodies. In the event of a tie in the votes, his vote counts double.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 16 - Vice President of the Association<br \/>\n<\/strong>The Vice President of the Association represents the Association whenever the President is objectively unable to do so and when given a specific mandate from the President himself.<\/span><br \/>\n<span style=\"color: #993300;\">He\/She supports the President in all the initiatives that the latter undertakes. Only when the President deems it appropriate and when his commitments don\u2019t allow him to represent the Association across the various activities undertaken, the Vice President may act personally in place of the President and with the same powers of the latter, subject to the issue of a specific proxy paper.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 17 \u2013 Secretary General<br \/>\n<\/strong>The Secretary General is appointed by the Board of Governors on the basis of a proposal made by the President. The Secretary remains in office for five years and may be confirmed in office. The nature and role of the post of Secretary General are established upon his\/her appointment.\u00a0<\/span><br \/>\n<span style=\"color: #993300;\">As regards the powers conferred on him\/her upon his\/her appointment or under these articles of association, the Secretary General shall enjoy full decision-making independence and powers of signature and delegation, within the framework of the programs, development guidelines and budgetary allocations approved by the Board of Governors.<\/span><br \/>\n<span style=\"color: #993300;\">In particular, he\/she shall be responsible for: <\/span><br \/>\n<span style=\"color: #993300;\">a) managing the Association\u2019s organizational and administrative aspects as well as the organization and promotion of individual initiatives by providing the necessary resources and tools for their effective implementation;<\/span><br \/>\n<span style=\"color: #993300;\">b) enacting the resolutions of the Board of Governors and the decisions of the President, in areas within his\/her remit.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>Art. 18 \u2013 Gratuitousness of posts<br \/>\n<\/strong>All the posts mentioned in these articles of association shall be held free of charge. Nevertheless, reimbursement shall be granted for any duly justified expenses incurred in the name and on behalf of the Association and\/or in performing a specific assignment, subject to prior authorization from the Board of Governors.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 19 \u2013 Economic resources<br \/>\n<\/strong>The Association derives its economic resources from:<\/span><br \/>\n<span style=\"color: #993300;\">1.membership fees and other contributions from members;<\/span><br \/>\n<span style=\"color: #993300;\">2.contributions from private citizens,<\/span><br \/>\n<span style=\"color: #993300;\">3.inheritances, donations and bequests;<\/span><br \/>\n<span style=\"color: #993300;\">4.other incomes compatible with the relevant legislation.<\/span><br \/>\n<span style=\"color: #993300;\">Over its entire existence, the Association shall not distribute, even indirectly, profits and operating surpluses nor funds, reserves or capital to directors, partners, members, workers or collaborators and third parties at large, unless the allocation or distribution is required by law, or made to the benefit of entities that -by law or under their by-laws or regulations- are part of the same unitary structure and carry out the same activities or other institutional activities directly and specifically provided for by current regulations. Any expense of the Association in favor of third parties for the purchase of products or services, approved by the Board of Governors, must be specifically documented.<\/span><br \/>\n<span style=\"color: #993300;\">The Association shall reinvest any possible profit or operating surplus with the sole aim to advance the activities that are instrumental in pursuing its social solidarity purpose.<\/span><br \/>\n<span style=\"color: #993300;\"><strong>ART. 20 \u2013 Economic and financial statement<br \/>\n<\/strong>The Association\u2019s economic and financial statement shall be issued annually and it shall cover the period starting on 1<sup>st<\/sup> January each year. The final accounts shall include all revenues and expenses relating to the year just ended. The budget shall include the estimated revenues and expenses for the next financial year.<\/span><br \/>\n<span style=\"color: #993300;\">The economic and financial statement shall be drawn up by the Board of Governors and approved by the ordinary Meeting with the majorities provided for in these articles of association.
